Domestic corporation

A stock corporation registered with the SEC. Where the activity is open under the Negative List, a foreign investor can hold up to 100% of the shares. It is the usual structure for a business that sells to the local market and wants full control.

Foreign ownership

Up to 100% where the PSIC activity is open. Capped activities limit foreign equity to the ceiling on the code page.

Minimum capital

USD 200,000 paid-up for a foreign-owned domestic-market enterprise, dropping to USD 100,000 with at least 50 direct employees or advanced technology. Export enterprises (60%+ of output exported) use the PHP 5,000 Corporation Code floor.

Best short answer

The standard vehicle for selling to the Philippine market.

Requirements

  • 2 to 15 incorporators
  • SEC registration, then BIR and the LGU permits
