Market-entry structure · Emerhub
Local corporation, minority foreign
A Filipino-majority corporation in which the foreign investor holds up to the activity ceiling (often 40%). With structured local control, a foreign investor can participate in activities that are capped or reserved. This is legal when structured properly, and Emerhub sets it up as a service.
Foreign ownership
Up to the code ceiling, for example 40%, 30%, or 25%. A Filipino partner or partners hold the balance.
Minimum capital
A domestic corporation under 40% foreign equity is not subject to the USD 200,000 floor, so the Corporation Code minimum applies.
